VertexStealth End User License Agreement (EULA)

This End User License Agreement is a legal agreement between you and Vertex Tech Solutions for the VertexStealth desktop software, including its updates and documentation (the "Software"). By installing or using the Software you accept this EULA. If you do not accept it, do not install or use the Software. Use of the online account service and paid plans is also governed by the Terms of Service, and our handling of personal data is described in the Privacy Policy.

1. License grant

Subject to this EULA, the Terms of Service and the limits of your plan, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on devices that you own or control, for your own lawful personal or business purposes. The Software is licensed, not sold. We reserve all rights that are not expressly granted.

2. Restrictions

You may not, and may not allow anyone else to:

  1. copy, modify, translate, adapt or create derivative works of the Software, except as applicable law permits despite this restriction;
  2. reverse engineer, decompile or disassemble the Software, or try to extract its source code, except to the extent that applicable law allows this despite this restriction;
  3. sell, rent, lease, lend, sublicense, distribute, host or share the Software or your licence with others;
  4. remove or alter any proprietary notice, label or mark in the Software;
  5. bypass, disable or tamper with any licence, plan, trial, device-binding, ban or update mechanism;
  6. use the Software to build a competing product, or publish benchmarks of it without our written consent;
  7. use the Software in breach of the Acceptable Use section of the Terms of Service or of any law.

3. Ownership

The Software, including its code, design, documentation and trademarks, and all intellectual property rights in it, belong to Vertex Tech Solutions and its licensors. This EULA gives you no ownership of any of them. You own your own data and browser profiles. Feedback you give us may be used by us without obligation or payment.

4. Third-party and open-source components

The Software includes, or works together with, third-party components, including the Electron framework, the Chromium browser engine, Mozilla Firefox and various open-source libraries. Those components are licensed by their owners under their own terms, which apply to them instead of this EULA. Chrome, Chromium, Google, Firefox, Mozilla and other product names are trademarks of their respective owners. VertexStealth is an independent product and is not affiliated with, sponsored or endorsed by those owners.

5. Updates

We may provide updates, upgrades and patches, which may add, change or remove features, and which are part of the Software and subject to this EULA. We may require you to install an update to keep using the Service. We have no obligation to provide support or updates for any particular version.

6. Online features and data

The Software connects to our account service to sign you in, apply your plan, and check the device identifier, as described in the Privacy Policy. Browser profiles and their contents are stored locally on your device.

7. Term and termination

This EULA remains in effect until terminated. It ends automatically if you breach it, and we may terminate it under the Terms of Service. On termination you must stop using the Software and delete all copies. Sections 2, 3, 4 and 8 to 11 survive termination.

8. Disclaimer of warranty

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WITHOUT ANY WARRANTY THAT THE SOFTWARE WILL BE ERROR-FREE OR SECURE, OR THAT IT WILL AVOID DETECTION OR ACCOUNT RESTRICTIONS BY ANY THIRD PARTY.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THE LICENSOR IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA OR ACCOUNTS, ARISING OUT OF OR RELATING TO THE SOFTWARE. ITS TOTAL LIABILITY UNDER THIS EULA IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM AND US$50. Limits that the law does not allow do not apply to you.

10. Export and sanctions compliance

You must comply with applicable export-control, sanctions and trade laws. You may not use or export the Software to any person, entity or place where doing so is prohibited by law.

11. General

The governing law and the process for resolving disputes are those set out in the Terms of Service. If a provision of this EULA is unenforceable, the rest remains in force. This EULA and the Terms of Service are the entire agreement about the Software; if they conflict about the licence to the Software, this EULA governs. We may assign this EULA in connection with a merger, acquisition or sale of the business; you may not assign it without our written consent.
